THESE TERMS 
  1. Please read the following terms and conditions (Terms) carefully before using FriendMTS.com (Site). This Site is operated by Friend MTS Limited, a limited company registered in England and Wales under company registration number 03513618, with registered office is at 177 Shaftesbury Avenue, London, England, WC2H 8JR (FriendMTS, FMTS, we, us, our).  
  2. These Terms explain how you may use the Site or any part of it, only. If you order any services from us, separate terms and conditions will apply. By using the Site or otherwise indicating your consent, you agree to be bound by these Terms, and the terms of our Privacy Policy (which explains what information we collect from you and how we protect it), Acceptable Use Policy (which sets out the dos and don’ts of using our Site), and our Cookie Policy (which sets out information about the cookies on our Site), each of which are expressly incorporated into and form a part of these Terms. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of the Terms and that they comply with them. If you do not agree with the Terms, you should stop using the Site immediately.
  3. We may amend these Terms from time to time. Every time you wish to use the Site, please check these Terms to ensure you understand the terms that apply at that time.  If you would like these Terms in another format (for example: audio, large print, braille), please contact us using our contact details.
HOW WE OPERATE THE SITE 

We do not guarantee that the Site or any content on it will always be available or be uninterrupted and we may suspend or withdraw or restrict the availability of all or any part of the Site for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal. We may update and change our Site from time to time at our discretion.

ACCESSING THE SITE
  1. We try to make the Site as accessible as possible. This site uses accessibility assistance plugins for the Hubspot platform. If you have any difficulties using the Site, please visit https://legal.hubspot.com/website-accessibility for information on usage, or contact us using the contact details.
  2. When you access the Site, it is for your use only, and you are solely responsible for any costs you incur in relation to your use of the Site. If you choose or are provided with a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential and you must not disclose it to any third party. If you know or suspect that anyone other than you knows any such user identification code or password, you must promptly notify us.
  3. We may, without prejudice to any other legal remedy, prevent or suspend your access to the Site if in our reasonable opinion you do not comply with these Terms or any applicable law.  
VIRUSES AND UNAUTHORISED ACTIVITY
  1. We do not guarantee that our Site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access the Site and you should use your own virus protection software.
  2. You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you may be committing a criminal offence and we will report any such breach to the relevant law enforcement authorities which may require us to disclose your identity to them. In the event of such a breach, your right to use the Site will cease immediately. 
USING THE SITE AND OUR PROPERTY
  1. The intellectual property rights in the Site and in any text, images, video, audio or other multimedia content, software, trade mark, or other information or material submitted to or accessible from the Site (Content) are owned by us or our licensors. We and our licensors reserve all our intellectual property rights (including, but not limited to, all copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind) whether registered or unregistered anywhere in the world.  Nothing in these Terms grants you any legal rights in the Site or the Content other than as necessary for you to access it through this Site. You agree not to adjust, try to circumvent, or delete any notices contained on the Site or the Content (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Site or the Content.
  2. You shall not conduct, facilitate, authorise, or permit any text or data mining or web scraping in relation to the Site or any services provided via or in relation to the Site. This includes using (or permitting authorising, or attempting the use of): (a) any “robot”, “bot”, “spider”, “scraper”, or other automated device, program tool, algorithm, code, process of methodology to access, obtain, copy, monitor or republish any portion of the Site or any data, information (including but not limited to the Content), or services accessed via the same; (b) any automated analytical technique aimed at analysing text and data in digital form to generate information, which includes but is not limited to patterns, trends and correlations. The provisions in this clause should be treated as an express reservation of our rights in this regard. This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
  3. The Site and its Content is provided by us to free of charge for general information purposes only and to inform you about us and our products and news, features, services and other websites that may be of interest, but has not been tailored to your specific requirements or circumstances. Any Content is provided for your general information only and it does not constitute technical, financial or legal advice or any other type of advice and should not be relied on for any purposes. You should always use your own independent judgment or seek professional or specialist advice before taking or refraining from, any action on the basis of the Site or any Content. Although we make reasonable efforts to update the information on our Site, we make no representations, warranties or guarantees, whether express or implied, that the Content or Site is accurate, complete or up to date.
  4. The Site may contain links and references to third party advertising, websites and resources provided by third parties (Third Party Materials). Third Party Materials are provided for your information only and do not amount to our approval or endorsement of those Third Party Materials or the parties associated with them. We do accept any responsibility for anything you may obtain from those Third Party Materials.  Your use of a third party website may be governed by the terms and conditions of that website and it is solely your responsibility to comply by any such applicable terms.
SUBMITTING CONTENT TO THE SITE
  1. Your privacy and personal information are important to us. We will only use your personal information as set out in our privacy policy.  
  2. Whenever you make use of a feature that allows you to upload content to our Site, or to make contact with other users of our Site, you must comply with the standards set out in our Acceptable Use Policy. You warrant that any such contributions complies with those standards and you are liable to us and indemnify us for any breach of this warranty.
  3. Any content you upload to the Site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our Site a limited licence to use, store and copy that content and to distribute it and make it available to third parties. When you upload or post content to our Site, you grant us a worldwide, perpetual, non-exclusive, royalty-free, transferable licence: (a) to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the service provide by our Site and across different media (including to promote the Site or the service); and (b) for other users, partners or advertisers, to use the content in accordance with the functionality of the Site.  
  4. You must not upload any material that could incite a terrorist offence, solicit any person to participate in terrorist activities, provide instruction on any method or technique for committing a terrorist offence or threaten to commit a terrorist offence. We have the right to remove any posting you make on our Site if, in our opinion, your post does not comply with the content standards in our Acceptable Use Policy.  If you wish to contact us in relation to content you have uploaded to our Site and that we have taken down, please use these contact details.
  5. This Site may include information and materials shared by other users of the Site. While we try to make sure that the Site is secure, we do not actively monitor, check, or approve information that is supplied to us through the Site. Any views that may be expressed by other users of the Site do not represent our own views or values. If you wish to complain about any Content, or you become aware of any material that is illegal or could comprise or be connected to abuse or exploitation, or could comprise terrorist content or be connected to terrorism, please contact us immediately
LINKING TO OUR SITE

Our Site must not be framed on any site. You may link to our home page only and only on a site that is owned by you, provided that the site complies in all respects with the content standards in our Acceptable Use Policy, and that you only do so in a way that is (a) legal and fair; (b) does not damage our reputation or take advantage of it; and (c) which does not suggest any form of association, approval or endorsement by us where none exists. We reserve the right to withdraw linking permission without notice. 

OUR RESPONSIBILITY TO YOU
  1. Nothing in these Terms excludes or limits our liability for death or personal injury to you caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow us to exclude or limit.
  2. If you are a business user, we: (a) exclude all implied conditions, warranties, representations or other terms that may apply to the Site or Content; (b) will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the use of or inability to use, the Site, or the use of or reliance on any Content. In particular we will not be liable for loss of profits, sales, business or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.  If you are a consumer user you agree not to use the Site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

  1. We will try to resolve any disputes with you quickly and efficiently. If you are unhappy with us, please contact us as soon as possible using these contact details.
  2. If you are a consumer, please note that these Terms, their subject matter and formation are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland you may also bring proceedings in Scotland. If you are a business, these Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales. 
TRADEMARKS

Friend MTS and ASiD are trade marks, or registered trade marks of Friend MTS Limited, or Friend for Media Limited, or their affiliates, in the UK or elsewhere. All other brands, product names, or trade marks are the property of their respective owners.
